Course | The lecture analyzes efficiency-oriented institutional structures within and between companies. The first part of the lecture deals with corporate governance in public limited companies and deals with supervisor and competition concepts of management discipline, the “blessing or curse” of performance-related remuneration of management and more recent corporate governance approaches to protect the claims of all company-specific investors (e.g. also of employees with specific human capital). The second part of the lecture deepens the course content with practical case studies and deals with the topic of “Corporate Social Responsibility” as an in-depth study. The third part of the lecture deals with the strengths and weaknesses of alternative business forms such as owner-operated companies, family businesses, mutuals and nonprofits as well as cooperative designs such as equity investments, partnerships, cooperatives and franchise organizations. |
Acquired skills | Students will be able to analyze and evaluate the institutional framework in general and corporate governance of companies in particular. Students know the strengths and weaknesses of public limited companies, alternative constitutional forms (owner companies, family companies, mutuals, nonprofits) and cooperation designs (equity investments, partnerships, cooperatives, franchise organizations). |
Examination requirements | 90-minute written exam (60%) |
Attendance | Attendance in the lecture “Governance” is recommended, but not mandatory. |
Other | Participation in the seminar is compulsory for major students. |
