Main topics | The lecture analyzes efficiency-oriented institutional structures within and between companies. The first part of the lecture deals with corporate governance in publicly traded corporations and discusses supervisor and competition concepts of management discipline, the “blessing or curse” of performance-based remuneration of management and newer corporate governance approaches to protect the claims of all company-specific investors (e.g. also of employees with specific human capital). The second part of the lecture deals with the strengths and weaknesses of alternative corporate forms such as owner companies, family businesses, mutuals and nonprofits as well as cooperative designs such as equity investments, partnerships, cooperatives and franchise organizations. Governance aspects are analyzed and discussed in the seminar. |
Learning outcomes | Students will be able to analyze and evaluate the institutional framework in general and corporate governance of companies in particular. Students are familiar with the strengths and weaknesses of public limited companies, alternative constitutional forms (owner companies, family companies, mutuals, non-profits) and cooperation designs (equity investments, partnerships, cooperatives, franchise organizations). The in-depth seminar enables students to analyze governance aspects, present the developed solution concepts, discuss them controversially and defend them. |

Attendance | Attendance in the lecture is recommended but not mandatory. Attendance in the seminar is compulsory. Attendance of at least 90% is required. |
